Our client, a well-regarded mid-sized law firm with a strong Corporate practice, is seeking a highly skilled Corporate Paralegal with 3-5 years of experience. As a Corporate Paralegal in this group, you will play a vital role in assisting attorneys throughout all stages of corporate transactions. Responsibilities include preparing and filing corporate formation documents, amendments, and dissolutions for corporations, partnerships, and LLCs; drafting and handling stock certificates; preparing SEC filings; assisting with mergers, acquisitions, and initial public offerings; conducting UCC filings and searches; and supporting attorneys and clients during closings. You will also handle documentation in connection with federal, state, and local compliance requirements and work closely with attorneys to meet client needs on complex and high-value matters.
This position requires a paralegal with a strong foundation in corporate law practice, excellent organizational skills, and the ability to manage multiple projects at once. Experience with SEC filings, UCC filings, and preparation of SS-4 Forms for EINs is highly valued. The role offers the chance to take ownership of substantive work, collaborate with seasoned attorneys, and contribute meaningfully to the success of the firm’s clients.
